ComplianceHub Management Systems Platform

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "you") and ComplianceHub Limited, a company incorporated in Ireland ("ComplianceHub", "we", "us", or "our"), governing your use of the ComplianceHub Management Systems Platform and related services.

By accessing, registering for, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all users of our platform, including but not limited to individual users, corporate entities, and organizations accessing our compliance management services.

2. Service Description

ComplianceHub provides a Software-as-a-Service (SaaS) platform designed to assist organizations in achieving and maintaining compliance with various management system standards, including but not limited to:

  • ISO 9001 (Quality Management Systems)
  • ISO 27001 (Information Security Management)
  • ISO/IEC 42001 (Artificial Intelligence Management Systems)
  • Other internationally recognized standards

Our services include document management, process mapping, audit management, non-conformance tracking, and compliance reporting tools. We reserve the right to modify, update, or discontinue any aspect of our services with reasonable notice to users.

The platform is provided on an "as-is" basis, and while we strive for continuous availability, we do not guarantee uninterrupted service or complete absence of errors.

3. User Obligations and Responsibilities

As a user of our platform, you agree to:

  • Provide accurate, current, and complete information during registration and use
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Use the platform in compliance with all applicable Irish and EU laws
  • Ensure that your organization has appropriate authority to enter into this agreement
  • Maintain adequate data backup procedures for your information
  • Comply with all reasonable security measures we implement

You are solely responsible for all activities that occur under your account and for ensuring that your use of the platform complies with your organization's internal policies and applicable regulations.

4. Acceptable Use Policy

You agree not to use our platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. Prohibited activities include:

  • Uploading or transmitting malicious code, viruses, or harmful content
  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Using automated tools to access the platform without our express permission
  • Reverse engineering, decompiling, or attempting to extract source code
  • Sharing account credentials with unauthorized third parties
  • Using the platform to store or process illegal content
  • Interfering with or disrupting the platform's operation
  • Violating any applicable data protection or privacy laws

We reserve the right to investigate violations of this policy and take appropriate action, including account suspension or termination.

5. Intellectual Property Rights

All intellectual property rights in the ComplianceHub platform, including but not limited to software, designs, trademarks, copyrights, and proprietary methodologies, remain the exclusive property of ComplianceHub Limited.

We grant you a limited, non-exclusive, non-transferable license to use our platform solely for your internal compliance management purposes during the term of your subscription.

You retain ownership of all data, documents, and content you upload to our platform ("Customer Data"). By using our services, you grant us a limited license to process, store, and transmit your Customer Data solely for the purpose of providing our services.

You warrant that you have the necessary rights to all Customer Data and that such data does not infringe upon the intellectual property rights of any third party.

6. Payment Terms and Billing

Our platform operates on a subscription basis with various pricing tiers. Payment terms include:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All prices are quoted in Euros (EUR) and include applicable Irish VAT
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest charges at the rate of 1.5% per month
  • We reserve the right to suspend services for overdue accounts
  • Price changes will be communicated with at least 30 days' notice

Free trial periods, where offered, are subject to the same terms and conditions as paid subscriptions. Trial accounts may have limited functionality or data storage capacity.

Refunds are generally not provided for subscription fees, except as required by Irish consumer protection laws or in cases of service failure on our part.

7. Data Protection and Privacy

We are committed to protecting your privacy and complying with the General Data Protection Regulation (GDPR) and Irish data protection laws. Our data processing practices are detailed in our Privacy Policy, which forms an integral part of these Terms.

Key data protection commitments include:

  • Processing personal data only for legitimate business purposes
  • Implementing appropriate technical and organizational security measures
  • Providing data portability and deletion rights as required by law
  • Maintaining data processing records and conducting impact assessments
  • Notifying relevant authorities of data breaches within required timeframes

You acknowledge that you are responsible for ensuring that any personal data you process through our platform complies with applicable data protection laws.

8. Limitation of Liability

To the maximum extent permitted by Irish law, ComplianceHub's liability to you is limited as follows:

  • Our total liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim
  • We exclude liability for indirect, consequential, or special damages
  • We do not warrant that our platform will meet all your specific requirements
  • We are not liable for data loss if you have not maintained adequate backups
  • Service interruptions due to maintenance, updates, or force majeure events are excluded from liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or other matters where liability cannot be excluded under Irish law.

You acknowledge that compliance with management system standards requires ongoing effort and that our platform is a tool to assist, not guarantee, compliance achievement.

9. Dispute Resolution

We are committed to resolving disputes amicably and efficiently:

  • Initial disputes should be raised through our customer support channels
  • We will attempt to resolve complaints within 30 business days
  • Unresolved disputes may be referred to mediation through an agreed mediator
  • As a last resort, disputes will be subject to the jurisdiction of Irish courts
  • EU customers may access the European Commission's Online Dispute Resolution platform

For consumer customers, these dispute resolution procedures do not affect your statutory rights under Irish consumer protection legislation.

10. Termination

Either party may terminate this agreement under the following conditions:

  • You may cancel your subscription at any time with 30 days' written notice
  • We may terminate for material breach if not remedied within 30 days of notice
  • Immediate termination is permitted for serious violations of these Terms
  • We may discontinue the service with 90 days' notice to all users
  • Termination for non-payment may occur after 30 days of account suspension

Upon termination, you will have 90 days to export your data from our platform. After this period, we may delete your data in accordance with our data retention policies.

Termination does not relieve either party of obligations that accrued prior to the termination date.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to these Terms or your use of our platform shall be subject to the exclusive jurisdiction of the Irish courts.

For customers located in other EU member states, this choice of law does not deprive you of the protection afforded by the mandatory provisions of your country of residence.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be communicated through:

  • Email notification to your registered email address
  • Prominent notice on our platform
  • Updated terms posted on our website

Material changes will take effect 30 days after notification. Your continued use of the platform after this period constitutes acceptance of the modified Terms.

If you do not agree to the changes, you may terminate your subscription in accordance with Section 10.

By using the ComplianceHub platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms constitute the entire agreement between you and ComplianceHub Limited regarding your use of our services.
